An industry-leading provider of client-focused management and consulting services to the insurance and alternative risk financing industry in the US, Europe and offshore captive insurance market is looking to hire a company secretarial manager in Guernsey. This will be a part-time role of approximately 20 hours per week.

The successful candidate will execute the role of Company Secretary provided for all clients through the corporate appointment of our client’s Corporate Services. Ensure suitable procedures for the efficient flow of work and compliance with relevant laws and regulations. Ensure managed companies operate within their Articles and provide training and guidance to client service teams. Oversee the set up and maintenance of all statutory company records for all client and Group companies. Filing of documents with the Registry. Preparation and submission of annual validations and company filings to the Registrar of Companies. Submission of Guernsey Finance Levy filings to the Registrar of Companies. Renewal of data protection registrations. Advise on Corporate Governance and Company Law issues. Incorporation of companies. Drafting of Insurance Management Agreements and Company Administration Agreements and maintenance of templates. On occasion assist with coordination and preparation of Board Packs and Board Meetings. Attendance at client Board Meetings (where required). Completion of Board Minutes (when in attendance). Ensure exceptional client service. Liaise with external regulators. Work with external advisers such as lawyers and internal and external auditors where needed. Undertake ad hoc projects as determined by the senior management team.

To be suitable for this role, you will have a minimum of five years’ experience in a company secretary environment. Ideally ICSA qualified or working towards this or similar qualification. Excellent organisational and communication skills are essential to collaborate with a range of professionals to deliver results. Ensure all work carried out complies with the Company’s policies and procedures and the ongoing regulatory requirements. Self-motivated with the ability to work effectively as part of a team or on individually assigned tasks in a fast-paced environment where attention to detail, time management and prioritisation skills are essential.
